Adoption of Corporate RULES

August 20, 2024

Summary of Meeting

I. Introduction: The Board, Tammy and Graeme McPherson (Gowlings)

II. The agenda will be amended to remove the proposal to accept the Rules adopted by the Board of Directors on June 23, 2024, at this time.

III. The agenda was amended to remove Item 2 and continue with Item 1 of the pre-amended Agenda.

IV. Laura B suggested it would be proper to remove Item 2 from the agenda.

V. Background: the Corporation’s Handbook did not constitute a legal set of corporate rules as decided by the Condominium Authority Tribunal (CAT) hearing having been concluded October 2023. In November 2023 the CAT Adjudicator, released a written decision in November 2023. The Adjudicator did not absolutely direct the Board of Directors to develop as set of Corporate Rules, but did strongly intimate that in the absence of an adopted set of Corporate Rules, it seemed likely that the Corporation would continue to be open to challenge by the Applicant Owner, or others were we continue to use the Handbook as the guiding norm for our community.

VI. Between January 2024 and May 2024, the Board of Directors developed as set of Corporate Rules for Board adoption and distribution to the CCC37 Ownership. An Owner’s Meeting was requisitioned per the Condominium Act, Ontario, and held on August 20, 2024.

VII. The Board of Directors a Motion for discussion which would create a five (5) member Committee of Owners and Board members whose mandate would be to re-draft a proposed set of Rules for further consideration and approval by the Board followed by the Ownership as a whole.

VIII. The floor was opened for discussion, during which time the community reached common ground on the proposal advanced by the Board, in the form as follows:

Following receipt and review of the Rules Committee’s recommendation(s), the Board would accept, and or amend the said recommendations. Once the Board concluded its legal responsibility and obligations, the Board would convene an Owner’s information sharing meeting of the proposed Corporate Rules, developed in consultation and recommended by CCC37 Owners and the Rules Committee and legally supported by the Board of Directors.

On behalf of the Owners assembled and the Board of Directors, the following Motion was adopted and carried by the majority:

A Board Rules Committee will be created, whose purpose, to develop a Rules package. The Owners Meeting held this evening will be held in abeyance, until such time as a new rules package has been developed by the Committee. The Rules adopted by the Board on June 28, 2024, will not come into effect tomorrow. The Committee will be made up of three (3) Owners and two (2) Board members. The Committee will receive Owner feedback during their work. On conclusion of the Committee’s work the Rules package will be delivered to the Board of Directors to review and consideration. The Board’s proposed Rules package will be shared with the Community for further comment, following receipt and consideration of the community’s feedback the Board will amend the draft Rules as appropriate and distribute a final Rules package, providing a thirty (30) day consultation period, and the Owners Requisition Meeting

package, at this Meeting if requisitioned the new Rules will be voted upon. In the interim the Rules as distributed June 28, 2024, will not come into effect.
